1. Introduction
1.1 About These Terms
These Terms of Service ("Terms") govern the access to and use of the timelit platform ("timelit", "Service", "we", "us", "our") by you as an individual user and/or as a representative of a company or other legal entity ("Customer", "you").
By:
- creating an account,
- connecting your Microsoft 365 Work or School account, or
- accessing or using timelit in any way,
you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use timelit.
These Terms are supplemented by and incorporate the timelit Privacy Policy, available at: Privacy Policy (Webapp)
1.2 Controller and Contracting Entity

Timelit FlexCo is the contractual partner and acts as an independent data controller for the processing of personal data described in the Privacy Policy.
1.3 Microsoft Work/School Accounts and Use Types (B2B & B2C)
timelit is designed and provided for use exclusively with Microsoft Work or School accounts (Microsoft Entra ID / Azure AD).
You may use timelit:
- as a private individual (B2C) with your own Microsoft Work or School account, and/or
- as an employee or representative of an organization (B2B) using an account issued by that organization,
in both cases subject to these Terms and applicable law.
By using timelit, you represent and warrant that:
- you have a valid Microsoft Work or School account;
- if you use an account issued by an organization, you have obtained any internal authorization required to connect that account to timelit; and
- you understand that for certain permissions and features, your organization’s Microsoft Entra / tenant administrator must grant admin consent before timelit can access your data and provide the Service.
If you are under 16 years old, you must not use timelit.
Your status as a consumer under EU or national consumer law does not in itself prevent you from using timelit, provided you meet the requirements above.
1.4 Authority and Acceptance
If you accept these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "Customer" refer to that entity.
If you do not have such authority, you must not accept these Terms or use the Service on behalf of that entity.
2. Definitions
In addition to terms defined elsewhere in these Terms, the following definitions apply:
- "Account" means an individual user account created for access to the Service via a Microsoft Work or School identity.
- "Customer Data" means any data, content, or information (including emails, attachments, calendar entries, meeting transcriptions, summaries, and configurations) that is imported, uploaded, or otherwise made available to the Service by or on behalf of the Customer.
- "User" means an individual natural person authorized by Customer to access and use the Service under Customer’s account (e.g., employees).
- "Output" means any AI-generated drafts, summaries, recommendations, categorizations, or other content produced by the Service based on Customer Data or user inputs.
- "Third-Party Services" means external services integrated into or used with the Service, such as Microsoft 365, Microsoft Graph, Azure OpenAI, Stripe, Plausible Analytics, etc.
- "Subscription" means a paid access plan to the Service as described in Section 7.
3. Service Description
3.1 What timelit Does
timelit is an AI-powered productivity and automation platform for Microsoft 365 business users. It provides features that may include (depending on your configuration and plan):
- Email automation & drafting: automatic categorization and AI-generated draft replies.
- Meeting assistance: meeting scheduling, meeting summaries, action extraction.
- Knowledge & search: indexing and semantic search across emails, summaries, and related content.
- Daily briefings & automation: daily overviews and background automations to reduce “work around work”.
timelit connects to your Microsoft 365 tenant via Microsoft Graph API and processes business email, calendar, and related content as described in the Privacy Policy.
3.2 No Professional Advice
timelit may generate content related to legal, financial, HR, technical, or other topics. Such content is for informational and productivity purposes only and does not constitute:
- legal advice,
- financial advice,
- medical advice,
- or any other professional advice.
You remain fully responsible for reviewing and validating all Output before acting on it or sharing it.
4. Account Registration and Access
4.1 Eligibility
To use timelit:
- you must have a valid Microsoft Work or School account;
- you must be at least 16 years old; and
- if your Microsoft account is issued by an organization (e.g., your employer or school), you must ensure:
- that you are allowed under your internal policies to connect this account to timelit, and
- that any required tenant administrator consent has been granted to timelit for the requested Microsoft Graph permissions.
You can use timelit as a private individual (B2C) or on behalf of an organization (B2B), as long as these conditions are met.
4.2 Account Creation and Microsoft Sign-In
Access to timelit is provided via Microsoft OAuth sign-in. By connecting your Microsoft account, you:
- authorize timelit to access Microsoft 365 resources via Microsoft Graph API as consented by you or your tenant admin; and
- agree to keep your Microsoft account secure and under your control.
We may require administrator consent at tenant level to enable certain features and scopes.
4.3 Customer’s Responsibilities
You are responsible for:
- ensuring you have the right to connect your Microsoft tenant and content to timelit;
- ensuring that your use of the Service complies with all internal company policies and all applicable laws;
- configuring the Service and permissions appropriately;
- maintaining the security and confidentiality of access to your Microsoft account;
- ensuring that all Users comply with these Terms.
5. Use of the Service
5.1 License Grant
Subject to these Terms and payment of applicable fees, Timelit FlexCo grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to:
- access and use timelit solely for Customer’s internal purposes (including personal productivity if you use it as an individual),
- by the number of Users permitted under the Subscription selected.
5.2 Acceptable Use
You agree not to:
- Unlawful Use
- Use the Service in violation of any applicable laws or regulations (including data protection, export control, anti-spam, and IP laws).
- Abuse, Security & Integrity
- Attempt to gain unauthorized access to any part of the Service or related systems.
- Probe, scan, or test the vulnerability of the Service without our prior written consent.
- Circumvent or interfere with security or technical protection measures.
- Misuse of AI
- Use the Service to generate or disseminate content that is illegal, defamatory, discriminatory, hateful, threatening, fraudulent, or otherwise harmful.
- Use the Service to generate or disseminate malware, spam, or phishing content.
- Use the Service in a manner that violates Microsoft’s acceptable use policies or the EU AI Act’s prohibited practices.
- Reverse Engineering & Copying
- Reverse engineer, decompile, disassemble, or derive source code from the Service except to the extent permitted by mandatory law.
- Copy, modify, or create derivative works of the Service except as expressly allowed by these Terms.
- Excessive Load and Abuse
- Use the Service in a way that imposes unreasonable load on our infrastructure or Microsoft Graph/OpenAI endpoints.
- Bypass or override rate limits or usage constraints.
- Third-Party Rights
- Use the Service to infringe any intellectual property rights, privacy rights, or other rights of third parties.
We reserve the right to monitor usage (in a privacy-preserving manner) to ensure compliance with these Terms.
5.3 Suspension
We may suspend or limit access to the Service immediately, with or without notice, if:
- we reasonably believe you are in breach of these Terms;
- your use of the Service poses a security or legal risk;
- required by law or by a request of a competent authority;
- necessary to protect the stability or security of the Service.
We will make reasonable efforts to inform you of the reason for suspension and, where possible, provide an opportunity to remedy the issue.
6. Customer Data & Intellectual Property
6.1 Ownership of Customer Data
As between you and us:
- Customer retains all rights, title, and interest in and to Customer Data, including personal data contained therein.
- Timelit FlexCo does not claim ownership of the contents of your emails, calendar entries, or meeting transcripts.
6.2 License to Customer Data
You grant Timelit FlexCo a limited, non-exclusive, worldwide, royalty-free license to:
- access, use, host, store, process, and transmit Customer Data,
solely as necessary to provide, maintain, secure, and improve the Service, as described in these Terms and the Privacy Policy.
We do not use Customer Data to train general-purpose foundation models.
6.3 Outputs
Subject to these Terms and applicable law:
- You may use the Outputs (drafts, summaries, categorizations, etc.) generated by the Service for your personal or internal business purposes.
- To the extent the Outputs incorporate or are derived from Customer Data, they are treated as Customer Data from your perspective.
- We may use anonymized and aggregated information about usage patterns to improve the Service, provided that it does not identify Customer or any individual.
- You remain responsible for reviewing and validating Outputs before relying on or sharing them.
6.4 timelit Intellectual Property
All rights, title, and interest in and to:
- the Service,
- the underlying software, models, and infrastructure,
- all trademarks, logos, and brand elements, and
- all documentation and other materials provided by us
are and remain the exclusive property of Timelit FlexCo or its licensors.
No intellectual property rights are transferred to Customer except as expressly granted in these Terms.
6.5 Feedback
If you provide feedback, suggestions, or ideas ("Feedback") about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use such Feedback for any purpose, including improving the Service and developing new products, without any obligation to you.
7. Subscriptions, Fees, and Payment
7.1 Subscription Plans
timelit may be offered via different plans, which may include:
- Free or Trial Plan with limited functionality and/or usage;
- Basic Plan at a specified monthly or annual fee;
- Professional or Enterprise Plans with extended features and higher limits.
Plan details (features, limits, prices) are described on our website or within the app and may be updated from time to time.
7.2 Billing and Payment
- Subscription fees are billed via Stripe (or another payment provider indicated by us).
- Unless otherwise agreed in writing, fees are in EUR and exclusive of VAT and other taxes, which may be added as required by law.
- Payment is due in advance for each billing period (monthly or annually, as selected).
By subscribing, you:
- authorize us and our payment processor to charge all applicable fees to your chosen payment method;
- represent that you are authorized to use that payment method.
7.3 Auto-Renewal and Cancellation
- Subscriptions generally auto-renew at the end of each billing period unless canceled.
- You may cancel your Subscription at any time via the account management interface or by contacting support.
- Cancellation will take effect at the end of the current billing period; you will retain access until then.
We may change Subscription fees. Fee changes will become effective at the start of the next billing period after notification, and you may cancel before the increased fees apply.
7.4 Refunds
Unless otherwise required by applicable law or expressly agreed:
- Fees are non-refundable, including for partially used periods, downgrades, or non-use of the Service.
- In case we permanently discontinue the Service or materially breach these Terms, we may, at our discretion, provide a prorated refund of prepaid fees.
7.5 Taxes
You are responsible for all applicable taxes, duties, and governmental charges associated with your use of the Service, except for income taxes payable by Timelit FlexCo.
8. Third-Party Services
8.1 Microsoft and Other Integrations
timelit integrates with Microsoft 365 and uses services such as:
- Microsoft Graph API
- Azure OpenAI (EU region)
- other Azure services (Cosmos DB, Blob Storage, Application Insights)
You acknowledge that:
- your use of Microsoft 365 and related services is subject to Microsoft’s own terms and privacy policies;
- we are not responsible for any unavailability, changes, or limitations of Third-Party Services;
- certain features of timelit require that these Third-Party Services are available and properly configured.
8.2 Relationship with Third-Party Providers
We do not have control over Third-Party Services and are not responsible for:
- their performance,
- their terms of use or privacy practices,
- or any damages or losses caused by them.
We are not affiliated with or endorsed by Microsoft beyond standard partner or customer relationships.
9. Data Protection and Security
9.1 Privacy Policy
Processing of personal data in connection with the Service is described in detail in our Privacy Policy, available at: Privacy Policy (Webapp)
By using the Service, you acknowledge the Privacy Policy and agree to its terms.
9.2 Roles and Responsibilities (GDPR)
- Timelit FlexCo acts as an independent data controller for the processing described in the Privacy Policy (e.g., email data, calendar data, transcriptions, telemetry).
- Customer is also a (separate) data controller for its internal use of the Service and Customer Data vis-à-vis its employees and other data subjects.
Customer is responsible for:
- ensuring a valid legal basis for transferring Customer Data to timelit;
- providing necessary information to data subjects (e.g., employees) about the use of timelit;
- complying with all applicable data protection laws in its own processing.
9.3 Security
We implement appropriate technical and organizational measures to protect Customer Data, as described in the Privacy Policy (encryption, RBAC, monitoring, etc.).
However, no system is completely secure. You acknowledge that residual risk is inherent in all internet-based services.
10. Warranties and Disclaimers
10.1 Service Level and Availability
Unless expressly agreed in a separate written Service Level Agreement (SLA):
- the Service is provided on a commercially reasonable efforts basis;
- we do not guarantee a specific uptime, response time, or performance level;
- temporary downtimes may occur for maintenance, updates, or due to third-party or network issues.
10.2 AI and Output Disclaimer
You acknowledge and agree that:
- AI-generated content may be inaccurate, incomplete, or misleading;
- the Service may hallucinate facts or misunderstand context;
- you must review, verify, and validate all Outputs before using or relying on them.
timelit is not a substitute for professional judgment or professional advice.
10.3 General Disclaimer
To the maximum extent permitted by law, Timelit FlexCo provides the Service:
- "AS IS" and "AS AVAILABLE",
- without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
- warranties of merchantability,
- fitness for a particular purpose,
- non-infringement,
- or that the Service will be error-free, uninterrupted, or secure.
11. Limitation of Liability
11.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, in no event shall Timelit FlexCo be liable for:
- indirect, incidental, special, punitive, or consequential damages,
- loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill,
- even if advised of the possibility of such damages,
- arising out of or in connection with the use of or inability to use the Service.
11.2 Aggregate Liability Cap
To the maximum extent permitted by law, Timelit FlexCo’s aggregate liability arising out of or relating to the Service and these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited to:
The total amount of fees actually paid by Customer to Timelit FlexCo for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
If you use the Service under a free plan, our aggregate liability is limited to EUR 100.
11.3 Exceptions
The above limitations do not apply where prohibited by applicable law, for example in cases of:
- willful misconduct,
- gross negligence, or
- injury to life, body, or health.
12. Indemnification
Customer agrees to indemnify, defend, and hold harmless Timelit FlexCo and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Customer’s or Users’ use of the Service in violation of these Terms, applicable law, or third-party rights;
- Customer Data, including any content provided or made available by Customer that is unlawful or infringes third-party rights;
- Customer’s failure to provide required notices or obtain necessary consents from data subjects.
13. Term and Termination
13.1 Term
These Terms remain in effect from the moment you first use the Service until:
- your Subscription is terminated, and
- all access to the Service is discontinued.
13.2 Termination by Customer
Customer may terminate:
- a Subscription in accordance with its cancellation terms (Section 7.3);
- the entire agreement by deleting all accounts and discontinuing use.
13.3 Termination by Timelit FlexCo
We may terminate or suspend your access to the Service, in whole or in part, if:
- you materially breach these Terms and fail to cure such breach within a reasonable period after notice;
- you use the Service in a way that causes legal, security, or operational risk;
- you fail to pay applicable fees;
- we decide, in our reasonable discretion, to discontinue the Service.
In case of a permanent discontinuation of the Service, we will make reasonable efforts to:
- provide advance notice, and
- offer a data export option where technically feasible.
13.4 Effects of Termination
Upon termination:
- all rights granted to you under these Terms immediately cease;
- your access to the Service will be disabled;
- we will delete Customer Data in accordance with our Privacy Policy and data retention/deletion practices.
Sections that by their nature should survive termination (e.g., confidentiality, IP, limitation of liability, indemnity, governing law) will continue to apply.
14. Changes to the Service and to These Terms
14.1 Changes to the Service
We may improve, modify, or discontinue certain features or functionalities of the Service at any time, including for:
- technical improvements,
- legal or security reasons,
- business or product decisions.
Where changes significantly reduce the core functionality of a paid plan, we will make reasonable efforts to notify you in advance.
14.2 Changes to the Terms
We may update these Terms from time to time. When we do:
- we will update the "Last Updated" date at the top;
- for material changes, we will provide reasonable notice via the Service and/or email.
If you continue to use the Service after the updated Terms become effective, you will be deemed to have accepted them. If you do not agree with the updated Terms, you must stop using the Service.
15. Governing Law and Jurisdiction
15.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with:
The laws of Austria, excluding its conflict-of-law rules and excluding the provisions of the UN Convention on Contracts for the International Sale of Goods (CISG).
15.2 Jurisdiction
The courts of Vienna, Austria (Innere Stadt) shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms or the Service, without prejudice to any mandatory rights to bring claims before other courts under applicable law.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any order form or subscription description, constitute the entire agreement between you and Timelit FlexCo regarding the Service and supersede any prior agreements or understandings.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid one that comes closest to the original intent.
16.3 No Waiver
Failure by Timelit FlexCo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
16.5 Notices
We may provide notices to you via:
- the timelit interface,
- email to the address associated with your account, or
- other reasonable means.
